Terms of Service

These terms govern your use of BoardroomTrades (boardroomtrades.com), operated by Strategic Research B.V. ("we," "us," "our"). By creating an account or using the service, you agree to these terms. Our Disclaimer and Privacy Policy apply in addition to these terms.

Strategic Research B.V. is registered in the Netherlands under Chamber of Commerce (KvK) number 68994877, VAT identification number NL857680626B01, registered office at W. v. d. Brinkstraat 106, 1444 HG Purmerend, the Netherlands. You can reach us at support@boardroomtrades.com.

The service

BoardroomTrades is an information service that displays information derived from public filings submitted to the U.S. Securities and Exchange Commission (SEC). It does not provide investment advice of any kind. Our Disclaimer applies to all information presented through the service.

Your account

You must be at least 18 years old to use BoardroomTrades. You agree to provide accurate account information and to keep your login credentials confidential. Your account is personal and may not be shared with or transferred to anyone else. You are responsible for all activity that occurs under your account.

Subscriptions and payment

Access to BoardroomTrades requires a paid subscription, billed monthly or annually at the prices displayed on the website at the time of purchase. Payments are processed by Stripe. Subscriptions renew automatically at the end of each billing period until cancelled. If we change our prices, we will notify you in advance and the new price will apply from your next billing period; if you do not agree, you can cancel before the new price takes effect.

Cancellation and refunds

You can cancel your subscription at any time through your account page. Cancellation takes effect at the end of the current billing period, and you keep access until then. Except where required by law, payments are non-refundable and no refunds or credits are given for partial billing periods. Nothing in these terms limits any rights you have under mandatory consumer protection law, including rules on the cancellation of automatically renewed contracts.

Right of withdrawal (EU/EEA consumers)

If you are a consumer in the EU or EEA, you have a statutory right to withdraw from your purchase within 14 days without giving a reason. By starting your subscription you request that the service begins immediately. If you withdraw within the 14-day period, we will refund what you have paid, less a proportionate amount for the period during which the service was already provided. To exercise this right, contact us at support@boardroomtrades.com within the withdrawal period. You may use the EU model withdrawal form for this, but it is not required.

Acceptable use

You may use BoardroomTrades for your own personal, non-commercial purposes only. You may not scrape, crawl, or access the service by automated means; copy, redistribute, resell, or publish the data or content presented through the service; share your account or circumvent access restrictions; or use the service in any unlawful manner. We may suspend or terminate accounts that violate these terms.

Intellectual property

The BoardroomTrades website, its design, software, and the selection and presentation of its content are owned by Strategic Research B.V. or its licensors. The underlying SEC filings are public information; our presentation and compilation of that information are not, and may not be reproduced or redistributed without our written permission.

Availability and changes to the service

We aim to keep BoardroomTrades available and up to date, but we do not guarantee uninterrupted or error-free operation. We may modify, add, or remove features at any time. If we materially reduce the core functionality of the service, you may cancel your subscription.

Liability

To the fullest extent permitted by law, our total liability to you for any claims arising out of or relating to the service is limited to the amount you paid us in the twelve months preceding the claim, and we are not liable for indirect or consequential damages, including investment losses. Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for intent or gross negligence.

Termination

You can stop using the service and delete your account at any time. We may suspend or terminate your account if you breach these terms, if required by law, or if we discontinue the service, in which case we will refund any prepaid amounts for the period after termination unless the termination results from your breach.

Changes to these terms

We may update these terms from time to time. If we make material changes, we will notify active subscribers by email before the changes take effect. If you continue to use the service after the changes take effect, you accept the updated terms; if you do not agree, you can cancel your subscription.

Governing law

These terms are governed by Dutch law. Disputes will be submitted to the competent court in the Netherlands, except that if you are a consumer, you retain any protection and choice of forum granted by the mandatory law of your country of residence.
